Welcome to thisRoadmap. These Terms of Service ("Terms") govern your access to and use of the thisRoadmap software-as-a-service platform (the "Service") provided by MicroMega Solutions, LLC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using thisRoadmap, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

thisRoadmap is a cloud-based roadmap planning and management application that enables users to create, organize, and share strategic roadmaps. The Service includes features such as hierarchical roadmap organization, team collaboration capabilities, and data export functionality. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. By using thisRoadmap, you represent and warrant that you meet these eligibility requirements.

4. Account Registration and Security

4.1 Account Creation

To access certain features of the Service, you must create an account by providing accurate and complete information, including your name, email address, and company affiliation (if applicable). You agree to update this information to keep it current.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4.3 Organization Accounts

If you create an organization account, you may invite other users to join your organization. As the organization administrator, you are responsible for managing user access and ensuring all users under your organization comply with these Terms.

5. User Content and Ownership

5.1 Your Content

You retain full ownership of all roadmaps, data, text, and other materials you create, upload, or input into the Service ("User Content"). thisRoadmap does not claim any ownership rights over your User Content.

5.2 License to Company

By using the Service, you grant MicroMega Solutions, LLC a limited, non-exclusive, royalty-free, worldwide license to use, store, display, reproduce, and process your User Content solely as necessary to provide and improve the Service. This license terminates when you delete your User Content or your account.

5.3 Content Responsibility

You are solely responsible for your User Content and represent that you have all rights necessary to grant us the license above. You agree not to upload content that infringes on any third party's intellectual property rights or violates any applicable laws.

6. Subscription and Payment

6.1 Subscription Plans

thisRoadmap offers both free and paid subscription plans. The features and limitations of each plan are described on our website. We reserve the right to modify our pricing and plans with 30 days' notice to existing subscribers.

6.2 Payment Processing

Payments are processed through Stripe, a third-party payment processor. By subscribing to a paid plan, you agree to Stripe's terms of service. You authorize us to charge your designated payment method for all fees associated with your subscription.

6.3 Billing Cycle

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection). Your subscription will automatically renew unless you cancel before the end of your current billing period.

6.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your use of the Service, excluding taxes based on our net income.

7. Cancellation and Refunds

7.1 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until that date.

7.2 Refund Policy

We do not provide refunds for partial billing periods. If you cancel your subscription, you will not receive a refund for the remaining time in your current billing cycle. In exceptional circumstances, refunds may be considered at our sole discretion.

7.3 Data After Cancellation

Upon cancellation or expiration of your subscription, your access to paid features will be restricted. We recommend exporting your data before cancellation. Your data will be retained in accordance with our Privacy Policy and Data Policy.

8. Prohibited Uses

You agree not to use the Service to: violate any applicable laws or regulations; infringe upon the rights of others; upload malicious code, viruses, or harmful content; attempt to gain unauthorized access to the Service or its systems; interfere with or disrupt the integrity or performance of the Service; use the Service for any fraudulent or deceptive purposes; use automated means to access the Service without our permission; or harass, abuse, or harm other users.

8.1 Resale Prohibition

You may not resell, sublicense, rent, lease, or otherwise commercially redistribute access to the Service or any portion thereof. Subscription plans, including the unlimited plan, are licensed for use by a single organization and its bona fide employees and contractors working directly for that organization. Using the Service to provide roadmap services to third parties, or allowing access by individuals outside your organization, is strictly prohibited and grounds for immediate termination without refund.

8.2 Fair Use Policy

Certain subscription plans include features described as "unlimited" (such as unlimited roadmaps or unlimited free viewers). "Unlimited" means that we do not impose artificial caps on normal business use of these features. However, all use of the Service is subject to this Fair Use Policy.

You agree not to use unlimited features in a manner that is inconsistent with normal business use, including but not limited to:

• Automated or programmatic bulk creation of roadmaps, items, or accounts;
• Using the Service primarily for data warehousing, archival storage, or purposes unrelated to roadmap planning and management;
• Any usage pattern that degrades the performance, availability, or quality of the Service for other customers.

If we determine that your usage may fall outside of normal business use, we will take the following steps before imposing any restrictions:

1. Contact the account administrator at the email address associated with the account to discuss the usage;
2. Provide a minimum of fourteen (14) days for you to explain your usage or adjust your usage patterns; and
3. Work with you in good faith to reach a reasonable resolution.

This Fair Use Policy does not limit our right to terminate accounts under Section 15 for clear violations of Section 8, including but not limited to automated abuse, resale, or conduct that materially harms the Service or other users.

9. Intellectual Property

9.1 Company Intellectual Property

The Service, including its original content, features, functionality, and design, is owned by MicroMega Solutions, LLC and is protected by copyright, trademark, and other intellectual property laws. Our name, logo, and all related names, logos, product and service names, designs, and slogans are our trademarks. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of MicroMega Solutions, LLC.

9.2 Feedback and Contributions

By providing feedback, suggestions, or other information related to your challenges and potential solutions ("Contributions"), you agree that:

MicroMega Solutions, LLC has the right to use and incorporate your Contributions into the Service without any obligation to you. All intellectual property rights in any enhancements, features, or solutions developed as a result of your Contributions are and will remain the exclusive property of MicroMega Solutions, LLC.

MicroMega Solutions, LLC may make such enhancements, features, or solutions available to all customers and there is no expectation that any Contributions shared with us will be private or exclusive to a single customer.

You grant MicroMega Solutions, LLC a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide license to use, modify, and distribute your Contributions for any purpose without compensation or attribution to you.

10. Data Export

You may export your User Content in PDF format at any time while you have an active account. We recommend regularly exporting your data as a backup. Instructions for data export are available in the Service documentation.

11. Third-Party Services

The Service may integrate with or contain links to third-party services. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to such third parties' terms and conditions.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee any specific results from use of the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MICROMEGA SOLUTIONS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR USE OF OR INABILITY TO USE THE SERVICE; (II) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (III) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY; (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless MicroMega Solutions, LLC and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

16. Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

16.2 Jurisdiction

Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Volusia County, Florida, and you consent to the personal jurisdiction of such courts.

16.3 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at support@micromeg.com. We will attempt to resolve the dispute through good-faith negotiation for at least 30 days before either party may initiate formal proceedings.

17. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, Data Policy, and Fair Use Policy (Section 8.2), constitute the entire agreement between you and MicroMega Solutions, LLC regarding the Service and supersede all prior agreements and understandings.

18.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

18.3 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
